## Contractor Agreement - March 14 Context Recovered

Mike shared screenshots of a planning conversation that happened March 14 in Claude.ai (not OpenClaw/Telegram -- this is why it wasn't captured). Key decisions from that session:

- **Notice periods:** 48h cancellations / 24h schedule changes (Mike had them backwards -- cancellations hurt more)
- **Admin fee:** $50 flat (industry standard $25-50 or 10-15% of job value)
- **Payment terms:** Weekly (Mike chose to keep weekly -- contractors love it)
- **Non-compete:** Yes, include
- **What to add:** $2M insurance, background checks, photo/access policy, quality standards, HST self-responsibility clause, non-solicitation (24mo, GTA), dispute resolution (mediation before litigation)
- **Approach:** Draft clean from scratch, not patch old one. Plain English = fewer disputes.
- Old agreement: "IC Agreement - No More Chores Final NEW.doc" -- not updated in 8 years

**Status as of today:** v2026.2 draft exists at contracts/ic-agreement-2026.html. Has most of what was discussed Mar 14. Still missing: HST clause, dispute resolution, photo/access policy, quality standards, billing rate clause ($150-175/hr for owner time in contractor-fault disputes).

**MEMORY FAILURE NOTE:** This March 14 conversation was never captured because it happened in a different app (Claude.ai). This is an ongoing gap -- cross-app conversations don't get logged to Harvey's memory unless Mike pastes them in or the session happens through OpenClaw.

## Mike's Compensation / Rate Analysis
- Current: $9K/mo (salary + dividends), ~250 hrs/month, ~$36/hr effective rate
- Target agreed: $20-25K NET/month, 120-150 hrs/month cap, ~$150-175/hr effective rate
- Path: NMC to $80-85K/mo revenue + consulting/brand income

## Discord Setup
- Added #knowledge-base channel (ID: 1485284296683163799) to allowlist, requireMention: false
- Both customer-service channels set to requireMention: true
- daily-summary and night-shift crons updated to post as threads in Discord #daily

## OpenClaw Update
- Updated to v2026.3.24 (commit cff6dc9), rebuilt from source after dist/entry.js went missing post-update

## HST / Tax Discussion (afternoon)
- Active thread in #taxes (Discord thread under #finance)
- Key finding: Jerby's $4K ITC figure is probably correct. Prior years (2023: $60K, 2024: $81K) were likely overclaimed by previous bookkeepers — they claimed ITCs on subcontractors and foreign vendors who don't charge Canadian HST
- Main reason: ~$360K in subcontractor payments are HST-exempt (most contractors aren't HST-registered)
- Legit ITCs likely $2,400-4,000 from: Bell, Google Ads, Intuit, Maurizio's CPA fees, office rent, Lovable (confirmed HST on invoice)
- Foreign SaaS vendors (Aircall, GHL, Zapier, Ahrefs) do NOT charge Canadian HST
- GST filing due: March 31 (5 days away — annual filer)
- YNAB shows $6,920 HST reserve — money is there
- Mike needs to call Maurizio today to verify key vendors are captured before filing
- Note: Mike's Gmail does NOT have most vendor invoices in inbox — likely paperless/portal billing

## Trello Sync
- Spring Fresh campaign card moved to ✅ Done (Mar 24) — confirmed complete

## Strategic Discussions
- Harvey's highest-leverage priorities: website overhaul, GA4 conversion tracking, GHL reactivation sequence, one-time→recurring nurture, quote follow-up via Leah
- Mike's highest-leverage 2 hours: Hour 1 = reactivation calls to 206 churned recurring customers, Hour 2 = referral asks from 129 active customers
- 3 calendar events created for Mar 27: bookkeeper flag (9am), reactivation calls (10:30am), referral texts (11:30am)
